1.  Introduction

With this circular we would like to inform you about the upcoming merger of Börse Frankfurt Zertifikate AG with Deutsche Börse AG.

Subject to approval by the competent supervisory authority, the merger is expected to be completed in March 2023. As a result, Deutsche Börse AG will become the sole Administering Institution of Frankfurter Wertpapierbörse (FWB^®, the Frankfurt Stock Exchange).

2.  Required action

No activities are necessary. 

3.  Details

As a result of the merger, Deutsche Börse AG will also be the Administering Institution for the trading of Structured Products in the future. Deutsche Börse AG will thus be the point of contact for Trading Participants and issuers for all product groups.

Exchange trading in Structured Products will continue to be of high importance and will be continued unchanged under the brand "ZertifikateBörse" and the Administering Institution of Deutsche Börse AG. Existing contracts with Börse Frankfurt Zertifikate AG will automatically be transferred to Deutsche Börse AG with all rights and obligations at the time of the merger.

The entry in the commercial register and the related effectiveness of the merger and the termination of Börse Frankfurt Zertifikate AG will be announced in a further circular.
